Terms & Conditions

These Terms and Conditions (the "Agreement") govern the provision of book cover design services by the entity trading as Cover Palette, hereinafter referred to as the "Designer", to the individual or entity purchasing the services the "Client", and collectively known as the "Parties"

1. Services (“Services”):

1.1 The Designer agrees to provide book cover design services as described and agreed upon by the Parties within a reasonable time.

1.2 The Client agrees to provide all necessary information, materials, and feedback required for the completion of the project.

 

2. Payment Terms:

2.1 The Client agrees to pay the Designer the agreed-upon fee upfront and in full for the services.

3. Intellectual Property:

3.1 The Designer retains all intellectual property rights, including copyright, to the book cover design until Client confirms to be satisfied with the services provided.

3.2 Once the Client is satisfied that the Designer has fulfilled its obligations under the Agreement, the Designer grants the Client a worldwide license to use the book cover design for the Client's book. Since our designers incorporate images and elements sourced from our available Royal Images Websites, the book cover’s license will be a standard license in accordance with the policy of our available Royal Images Websites. For the avoidance of doubt, the current license grants unlimited use of elements for display on e-books and up to 500,000 physical copies.  

 

4. Client Provided Graphical Elements:

4.1 The Client may provide specific graphical elements to be incorporated into the book cover design.

4.2 The Designer agrees to use the client-provided graphical elements solely for the purpose of providing services to the Client and will not use them for any other purpose without the Client's explicit consent.

5. Project Revisions:

5.1 The Designer will provide the Client with an unlimited number of revisions during the design process until the Client is satisfied with the services provided.

5.2 If the Designer deems the number of revisions requested by the client unreasonable and/or abusive in nature, the Company reserves the right to terminate this Contract and, instead, provide a full refund less reimbursement for any work completed up to the date of termination.

 

6. Confidentiality:

6.1 The Parties agree to keep all confidential information shared during the project confidential and not disclose it to third parties.

 

7. Termination:

7.1 Either Party may terminate this Contract in the event of a material breach by the other Party, provided written notice is given.

7.2 Upon termination, the Client shall pay the Designer for any work completed up to the date of termination.

 

8. Governing Law:

8.1 This Agreement shall be governed by and construed in accordance with the laws of Australia.

8.2 Any disputes arising from this Agreement shall be subject to the non-exclusive jurisdiction of the courts of New South Wales, Australia.

 

9. Australian Consumer Law:

9.1 Our services are provided in accordance with Australian Consumer Law. 

 

10. Entire Agreement:

10.1 This Agreement constitutes the entire agreement between the Parties and supersedes any prior discussions or agreements, whether written or oral.

 

By purchasing the services, the Client acknowledges that they have read and understood these Terms and Conditions and agree to be bound by their terms.
